1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Chari Stroll platform, available at charistroll.com and charistroll.mysharetribe.com (the "Platform"), operated by Detour Inc., a company organized under the laws of Japan ("Chari Stroll", "we", "us", or "the Company"). By creating an account, browsing listings, or making a booking on the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

The Platform is provided primarily in English for the convenience of international visitors to Japan. In the event of any conflict between the English version of these Terms and a translation, the English version shall govern.

2. Definitions

  • "Provider" means an independent bicycle rental shop or individual tour guide who lists bicycles or guided tours on the Platform.

  • "Customer" means any person who books a bicycle rental or guided tour through the Platform.

  • "Booking" means a confirmed reservation of a Provider's listing made through the Platform.

  • "Service Fee" means the commission charged by Chari Stroll for facilitating a Booking, as disclosed at checkout.

  • "Rental Agreement" means the direct contractual relationship formed between a Provider and a Customer for the rental of a bicycle or provision of a guided tour, upon confirmation of a Booking.

3. Nature of the Service --- Chari Stroll as Intermediary

Chari Stroll operates an online marketplace that connects Customers with independent Providers. Chari Stroll is not a bicycle rental company, does not own or operate any bicycles, and is not a party to the Rental Agreement formed between a Customer and a Provider.

Each Provider is solely responsible for the condition, safety, maintenance, and legal compliance of its bicycles, for the conduct of its guided tours, and for performance of the Rental Agreement. Chari Stroll's role is limited to: (a) operating the booking and payment infrastructure; (b) facilitating communication between Customer and Provider; and (c) providing customer support in connection with the use of the Platform.

Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between Chari Stroll and any Provider.

4. Eligibility and Account Registration

You must be at least 18 years old to create an account and make a Booking. By registering, you confirm that the information you provide is accurate and that you have the legal capacity to enter into a Rental Agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5. Booking Process

Bookings are made by selecting a Provider's listing, choosing a date and time, and completing payment through the Platform. A Booking is confirmed only once you receive a confirmation notice through the Platform. Provider-specific details --- such as pickup location, bicycle specifications, and meeting instructions --- are shown on the listing and in your Booking confirmation.

6. Payments and Fees

All payments are processed through Stripe, a third-party payment processor, using Stripe Connect. By making a Booking, you authorize Chari Stroll to charge your payment method for the Booking amount, which includes the Provider's rental fee and the Service Fee.

You further authorize Chari Stroll to retain your payment method on file for the duration of your rental period and to make additional off-session charges to that payment method, without requiring your active confirmation at the time of the charge, in the circumstances described in Section 11 (Damage, Loss, and Theft) below.

Prices are displayed in Japanese Yen (JPY) unless otherwise stated. Your card issuer may apply currency conversion fees; these are outside Chari Stroll's control.

Chari Stroll, through its payment processor Stripe (via Stripe Connect), acts as a payment collection agent (収納代行) on behalf of the Provider. When you pay the Booking amount, Chari Stroll collects that amount on the Provider's behalf. Your payment obligation to the Provider under the Rental Agreement is discharged upon your successful payment to Chari Stroll, regardless of when or whether Chari Stroll subsequently remits the corresponding amount (net of the Service Fee) to the Provider. Chari Stroll is not a funds transfer business and does not hold your payment for any purpose other than completing your Booking and remitting the Provider's share.

7. Cancellations and Refunds

[PROVISIONAL --- pending final confirmation] Bookings cancelled at least 24 hours before the scheduled start time are eligible for a full refund. Bookings cancelled within 24 hours of the scheduled start time are non-refundable, except where the Provider is unable to fulfill the Booking (see below).

If a Provider is unable to fulfill a confirmed Booking (for example, due to bicycle unavailability), the Provider will first attempt to offer a substitute bicycle of comparable specification. If no substitute is available, Chari Stroll will process a full refund to the Customer. The Provider must notify Chari Stroll of any such non-delivery without undue delay.

No-shows are treated as late cancellations and are non-refundable.

8. Identity Verification

At the time of bicycle pickup, the Provider will request to photograph or photocopy a valid form of government-issued identification (such as a driver's license or passport) for verification purposes. This identification is retained by the Provider only, solely for the duration of the rental period, and is destroyed promptly following confirmed return of the bicycle in good condition, except where retention is required to cooperate with a police investigation.

Chari Stroll does not collect, transmit, or store copies of Customer identification documents. See our Privacy Policy for further detail.

9. Ground Rules for Customers

When using a rented bicycle in Japan, you agree to:

  • Comply with all applicable Japanese traffic laws and regulations, including (but not limited to): riding on the correct side of the road; obeying traffic signals; wearing a helmet, which Japanese law requires as a duty of best effort (努力義務) for all cyclists; not using a mobile phone, headphones, or umbrella while riding in a manner that impairs safe operation; not riding two abreast where prohibited; and using lights after dark;

  • Wear a helmet where provided, and where required by local regulation;

  • Not ride under the influence of alcohol or drugs;

  • Not permit any person other than yourself and other Customers named on the Booking to use the bicycle;

  • Park the bicycle only in designated or legal parking areas; illegal parking may result in a flat administrative fee of ¥10,000, charged in addition to any towing or impound fee levied by local authorities;

  • Return the bicycle to the agreed location at or before the agreed time, in the condition in which it was received, ordinary wear and tear excepted.

10. Guide Tours

Guide Tour listings connect Customers with individual local guides for hourly, customized ("omakase"-style) bicycle tours. By booking a Guide Tour, you confirm that you are in adequate physical health and fitness to participate in a multi-hour cycling tour, and you agree to disclose to your guide, prior to the tour, any medical condition or physical limitation that may affect your ability to safely participate.

Guides are independent Providers and are solely responsible for tour content, route planning, and on-tour safety decisions. Following the 2018 revision to Japan's interpreter-guide regulations, a guide is not required to hold the National Government Licensed Guide-Interpreter (全国通訳案内士) or Regional Licensed Guide-Interpreter (地域通訳案内士) qualification in order to provide paid guiding services. Guides on the Platform who do not hold such a license will not use the title "全国通訳案内士," "地域通訳案内士," or any similar name suggesting they hold that license.

11. Damage, Loss, and Theft

You are responsible for the bicycle from the time of pickup until confirmed return. In the event of damage, loss, or theft occurring during your rental period, the Provider will assess the incident and may request that Chari Stroll apply an off-session charge to your payment method on file, covering repair cost, replacement cost, or a theft-related charge, as applicable and as disclosed to you at the time of booking or upon incident.

Where a Provider maintains theft insurance covering its bicycles, such insurance is contracted and claimed by the Provider independently; Chari Stroll is not a party to, and has no role in, any insurance contract or claim between a Provider and its insurer. Chari Stroll's role is limited to determining, based on information provided by the Provider, whether an off-session charge to the Customer's payment method is warranted.

Third-Party Liability Coverage. Every Provider is required to maintain an active BSC (自転車安全対策協議会) liability insurance policy covering its listed bicycles. Among other things, this policy covers the Provider's legal liability, and third-party legal liability arising when a Customer, through negligent operation of a rented bicycle, causes bodily injury to a third party or damage to third-party property --- up to a limit of ¥100,000,000 per accident, at no additional cost to the Customer. This coverage does not apply to loss arising from intentional acts, or to other exclusions set out in the policy (such as damage arising from war, earthquake, or claims among family members of the insured). If you are involved in an accident causing injury to a third party or damage to third-party property, notify the Provider and Chari Stroll as soon as possible so that a claim can be filed under this policy.

12. Prohibited Conduct

You agree not to: use the Platform for any unlawful purpose; provide false information; circumvent the Platform to complete a transaction directly with a Provider in order to avoid the Service Fee; harass or abuse Providers or Chari Stroll staff; or interfere with the operation of the Platform.

13. Intellectual Property

The Chari Stroll name, logo, and Platform content (excluding Provider-supplied listing content) are the property of Detour Inc. and may not be used without prior written permission.

14. Disclaimers

The Platform is provided "as is." Chari Stroll does not warrant the condition, safety, or fitness for purpose of any bicycle listed by a Provider, nor the quality or safety of any Guide Tour. Cycling carries inherent risks, including risk of injury; you assume these risks by choosing to rent a bicycle or join a tour.

15. Limitation of Liability

To the maximum extent permitted by Japanese law, Chari Stroll's total liability to you arising out of or related to your use of the Platform, in aggregate across all Bookings in any 12-month period, shall not exceed the total Service Fees paid by you to Chari Stroll during that period. This limitation does not apply to liability arising from Chari Stroll's gross negligence or willful misconduct, which cannot be excluded under Japanese law.

Chari Stroll is not liable for the acts or omissions of any Provider, including any bicycle defect, accident, injury, damage, loss, or theft occurring during a rental, except to the extent caused by Chari Stroll's own gross negligence or willful misconduct in operating the Platform.

16. Indemnification

You agree to indemnify and hold harmless Chari Stroll and Detour Inc. from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms or your violation of applicable law while using a rented bicycle; and (b) any claim brought against Chari Stroll or a Provider by a third party in connection with your use of a rented bicycle, in each case to the extent such claims, damages, losses, or expenses are not covered by the Provider's BSC insurance policy described in Section 11 --- for example, because they arise from an intentional act, fall within a policy exclusion, or exceed the policy's coverage limit --- and except to the extent caused by the gross negligence or willful misconduct of Chari Stroll or the Provider.

17. Dispute Resolution and Governing Law

These Terms are governed by the laws of Japan. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the Tokyo District Court, without prejudice to any mandatory consumer-protection rights you may have under the law of your country of residence.

18. Changes to These Terms

Chari Stroll may update these Terms from time to time. Material changes will be announced on the Platform. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
